Terms & Conditions – Real Simple Limited

These Terms & Conditions apply to your use of all websites and services provided by Real Simple Limited (NZBN 9429049295092), including but not limited to:

By accessing our websites or using our services you agree to these Terms.

1. Our Services

We provide website design, website maintenance, SEO, content management, domain registration & hosting (via third-party providers), Google Analytics/AdWords setup and management, and social media advertising & marketing.

All services are provided under individual project/service agreements or quotes that you accept. Those agreements form part of, and are subject to, these Terms & Conditions.

2. Payment & Refunds

You agree to pay all fees on time as set out in your service agreement or invoice. Refunds and warranties are governed solely by the individual service agreement for that project. We do not offer refunds outside what is stated in that agreement.

3. Client Responsibilities

  • You are responsible for providing accurate information and materials on time.
  • You are responsible for keeping backups of your website and data unless your service agreement expressly states we provide backups.
  • You must not use our services or the websites we build/maintain for any unlawful, offensive, adult/pornographic, discriminatory, or otherwise unethical purpose.

4. Third-Party Services

Domains, hosting, Cloudflare, Google services, social media platforms and other tools are provided by third parties. We are not responsible for their uptime, performance, or changes in their terms/pricing. Any uptime or performance is subject to those third-party providers.

5. Intellectual Property

We retain ownership of all templates, code, designs, tools, and intellectual property we create until full payment is received, at which point we grant you a non-exclusive licence to use it for your business. You must not reverse-engineer, resell, or white-label our services as your own.

6. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • Our total liability to you is limited to the amount you have paid us in the 12 months before the claim.
  • We are not liable for indirect, consequential, or special losses, loss of profit, data, or business.
  • The website and any free tools (now or in the future) are provided “as-is” with no warranties.

7. Termination & Refusal of Service

  • We may refuse to provide services to anyone, at any time before payment is finalised, at our sole discretion and without giving a reason.
  • We may immediately suspend or terminate services if you breach these Terms, your service agreement, any law, or if your use of the website/service involves illegal, offensive, adult, or unethical content. No refund will be given in cases of termination for breach.

8. Changes to Services or Pricing

We may change our pricing or discontinue services with reasonable notice (except where urgent for legal or security reasons).

9. Governing Law

These Terms are governed by New Zealand law. Any disputes will be resolved in the courts of New Zealand.

10. Changes to these Terms

We may update these Terms from time to time. The latest version will always be posted here with the effective date at the top. Continued use of our websites or services after changes means you accept the new terms.
